Legal Question in Business Law in Nevada
When filing for an LLC in the state of Nevada, you first have to submit the Articles of Incorporation. This form has you check a box (line 4) as to whether or not your company will be managed by �Manager(s)� or �Member(s)�.
Then, it has you put the �Name and Address of each Manager or Managing Member�. This line does not have anything to check as to whether the individual name supplied is a Manager or Managing Manager.
The subsequent filing �Initial List of Managers or Managing Members� form only allows you to specify the �Managers� or �Managing Members�.
If the LLC is managed by solely �Managers� (not managed by any �Managing Members�), how do you tell the state who the members of the LLC are?
