Legal Question in Business Law in New Jersey

I'm a CEO osharef Company and 33% share holder the other owners are my two sisters and each one have a 33% stock in the company . last week i find out that one of the owner took $ 420,000.00 from the company money and without my approval and she bought a house for her self when i demanded that she return the money , she refused and now they intend to have a meeting and vote me out of the company . by the way they are my step sisters. can they do that ?

In addition to the other attorney answers, absent a shareholder agreement authorizing buy out of a shareholder, your step sisters cannot "vote you out" of the company in terms of your stock. Shareholders normally own stock until they decide to sell. However, they can use their controlling interest to vote in another CEO, etc. at the annual meeting. It appears the more important issue is the fraud - theft that has apparently happened. Consult with a good business attorney in your area as soon as possible for specific advice.
