Need to dissolve an Incorporation

I would like to dissolve a business that is almost 2 years old. My business partner turned out to be a thief and I would like to put a stop to our working website and her ability to use the company's name. She continues to conduct business on a daily basis, and I want it to stop. I wanted this to take effect in the beginning of July, but she refuses to give me a copy of our book keeping and receipts. What are my options-

Any help would be great, this is a serious inquiry for a serious attorney. Thank you!

There IS a lot to plot out, and you DO need a lawyer to help you do this. Here are some -- certainly not all -- of the concerns:

Are you a C-corp, an S-corp, an LLC, a general partnership, a limited partnership, an LLC/LLP?

What state are you registered in?

What does your shareholders agreement or operating agreement say about dissolution of the company?

Define "thief." What, exactly, is your partner doing that you don't like? If she is stealing, what is she stealing and how much is it worth?

Who holds the majority of the shares, or did you split them evenly?
