Legal Question in Business Law in New York

LLC Subsidiary/Business Name

I have a limited liability company, but would like to start a business with a different name. Is it possible to operate this business as a subsidiary or branch under this llc and still receive the protections it provides? If not, is it possible to change the name of the llc?

I would recommend speaking with a lawyer before you make one business a subsidiary of another. It may be better to keep the two businesses separate. Also, your current business may have liabilities that you do not want to expose your new business to. You are able to change the name of an LLC if you desire to do so by filing the appropriate paperwork with the state. Probably yes (depending on what the Articles of Organization for your current LLC say), and yes (changing the name is a simple process, but NYS takes its own sweet time in changing the name of any entity).

It is possible to do either one. You can create a DBA (doing business as) under your current LLC or you can file a business Name Change. Either one would necessitate a fil;ing w/ NYS.
