Legal Question in Business Law in New York
if a sales rep gives my business a "simple letter of understanding IN LIEU of a contact" that he wrote is this a contract and if so is it binding

It probably is a contract; if there are an exchange of promises whereby each side agrees to perform services for or make payment to the other, then there is a contract.
