Legal Question in Securities Law in New York
certificate of directors action
I am sole director and shareholder of a corp. i just formed in NYS. My investment is $100,000. On the Certificate of Directors action in the corporate kit, is my $100,000 the consideration for the 200 shares of no par value stock? If so, in the following paragraph can i allocate $1.00 per share to stated capital and the rest to surplus?
