Legal Contract

I have a potential client who wants to see all my contracts with other clients to see what I am charging them. Is this legal?

Dear Inquirer: Your Client has no right to ask you for your confidential business information any more than he can ask his doctor the same question. No, he is not entitled to ask, but then, do you want to keep this individual as a customer/client?

In Ohio certain business information is protected by law. Claims and litigation in connection with business documents and information of an employer, deemed confidential, may have serious import to all parties. One recent case law decision in Ohio considered these factors and the case law precedents of federal case law in its findings.

{17} Trade secrets�are defined in R.C. 1333.61(D), which provides:

"`Trade secret' means information, including the whole or any portion or phase of any scientific or technical information, design, process, procedure, formula, pattern, compilation, program, device, method, technique, or improvement, or any business information or plans, financial information, or listing of names, addresses, or telephone numbers, that satisfies both of the following:

It derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use.

It is up to you as to whether you want to show them to him/her. The only potential civil liability might arise if the terms of various contracts were agreed to be kept confidential.
