Any attorney will say the precise wording is important. You don't want to indicate your new business is a continuation of theirs. Something like "formerly affiliated with XXXXX" may be appropriate. Consult with an attorney in your area for specifics.

As a follow up to my answer, how you do this is also very important. For example, placing a statement on your website or in advertising is one thing. But you can't directly solicit the other company's customers. Consult with an attorney in your area for specifics.
