Legal Question in Business Law in Pennsylvania

Business ownership and rights

I was part of the original board of a corporation. I resigned my position 4 months ago but my name is still the only name on the incorporation. Can I take the corp name and fed id number if the other board members will not remove my name? Can I demand the other members cease using the name and fed id number? The corp was started in 01/07 and has little if any income to date.

Re: Business ownership and rights

You asked about the right to have your name removed from a corporation.

The fact that you resigned completes the task and generally eliminates any potential for you to gain access to the name or Tax ID Number. I am assuming when you say that your name is on the incorporation that you mean on the records of the corporation bureau. Those records are only updated when there is a new filing, usually an annual report.

The fact that your name is there doesn't mean a whole lot as it is not an official record of the corporation but rather a record of what the corporation reported on the date of the last filing.

Hope this gives you the answer you need. If I can be assistance please feel free to call as I provide legal services to businesses of all sizes.
