Partnership/division of corp/

My friend and I have formed a partnership, equal in every way. But she has also formed one as part of a corporation where she is going to be 50% partners in that and they say that the original partnership allows me no rights in the corp agreement but they are using my co. name as a division of the corporation. Also my partner is not on any paperwork for the corp. All monies collected by the parent vompany are comming n under my company name, but being placed in the other company account minus any signatures from me. please give me some idea what to do?

I would need to see what is there before I can tell you what you can do. Generally speaking, if there is a company that is using your company's name without permission, then you can sue that other company under a variety of theories. Additionally, there may be a claim against your partner if she is wrongfully usurping business opportunities from your partnership. Again, I have to review the paperwork in more detail, as these types of cases tend to be fact specific.
