Incorporation for a Start-Up retail business
I am in the process of incorporating a retail business and need advice on whether to incorporate as an LLC or S corp. I am a resident of VA but he business will be located in MD. I will be the sole owner of the business and no other principles will be involved. My question is: for tax/liability purposes, where should I incorporate in VA or MD and should I incorporate as a Maryland S corp., Virginia S corp., Maryland LLC or Virginia LLC? Another important note to mention is that I don�t have a residence in MD. I have also heard of a lot companies incorporating in Delaware? Is this something I should consider? If so what type of corp. is best for a small retail business.

Formation of a corporate retail business entity requires careful consideration of a number of business law, tax law, and financial variables. Formation of a retail business under MD law would likely be preferable from an administrative and legal standpoint. Careful analysis of the facts and circumstances surrounding the retail business activities is essential. An experienced business law and tax attorney should be able to handle this under MD law.
