Legal Question in Intellectual Property in New Jersey

Give me a warning

First of all, I would like to inform that I am in Thailand but in this web no have Thailand. Then, I have to choose Hongkong.

My company will make a non disclosure agreement with a company from New Jersey. The agreement says ''the parties have to follow with the laws of New Jersey''.

Please give me, your opinion. I should agree or not?

Without seeing the entire agreement or the provision you write about, if there is litigation, the law that will be applied will likely be that of the State of New Jersey. If litigation is brought outside of New Jersey, the court may or may not apply it, if that law is in conflict with the public policy of the forum. As to litigation brought in Hongkong or Thailand, I have no opinion.

It is not uncommon for non-disclosure agreements to have governing law provisions that require that the agreement be interpreted by the law where the disclosing party conducts business. This is pretty typical. You should, however, have a New Jersey attorney review the NDA before signing.
