The filing fee for the Certificate of Dissolution is $60. The Certificate of Dissolution requires the consent of the State Tax Commission. All due and unpaid taxes would need to be paid before the consent is issued.

Upon receipt of the consent of the State Tax Commission, two copies of the consent, the Certificate of Dissolution, and the statutory filing fee of $60 should be forwarded to the New York State Department of State, Division of Corporations, 41 State Street, Albany, NY 12231.
