partnership dispute

i formed an LLC with two individuals last year. thereafter the LLC purchased a building. i moved my antique business into the bldg. and started having problems with my partners. now they have changed the locks and are badgering me to sign off on the building in return for my antique inventory. do they have the right to do these things? i have decided they can have the inventory and i will not give up my third of the bldg. they want to meet and badger me further into walking away. i have no $$ into the bldg.; they agreed to pay my share of the purchase ($2500.00) in exchange for my handling various paperwork. it's real messy but my main question relates to whether they can legally lock me out. thanks so much!

No, their lockout and self-help remedy to terminate your interest in the LLC and building in unlawful.

You should bring an action for termination/dissolution if agreement cannot be reached.

First, if you had occupancy of the building and/or any type of lease agreement, a lockout would be unlawful. You may file suit in court to seek access to your property in addition to possible statutory damages against the partnership.

With regard to your partnership interest in the buidling, much may depend on the written agreements you may have had with your partners. Cerytainly, they cannot divest you of your interest without paying you out on that interest. If negotiations and mediation do not resolve this dispute, you may file a partnership action to dissolve the business and value the respective interests of the parties.
