LLC Compliance - New Jersey
If a LLC is not in compliance with fees and documentation required by state statutes does it ''lack legal standing'' to bring a law suit?

If the LLC was formed in another state it must register as a foreign entity with the NJ Div. of Revenue and may not bring suit (although it can still defend against one) in our Courts unless and until that's done.
If it's a NJ LLC, there would be a problem if the situation was not remedied for so long that the State revoked the LLC's charter. Off the top of my head I think that can be done after 2 years noncompliance. The effect is technically, the LLC does not legally exist as of the moment of revocation but it can be reinstated by paying all the back fees, taxes and filing the necessary paperwork.
