reverse-engineering

If I reverse-engineer the source code from my company's propriatary object code, does that count as theft of trade secret?

A separate question is how serious is the act of un-authorized downloading corporate materials? No information were passed to third party or being used for profit.

I would need a lot more information to answer your question. But here's a simple answer to your question. I wouldn't do either. Nothing good will come out of it. If you are facing some type of investigation, get an attorney now.
