corporation dissolving
we had a partnership and turned it into a coporation is it possible for one of the officer to dissolve the coporation? im the president and do not wish to dissolve the corp.

Unless the by-laws or agreement provides otherwise, a vote of two thirds of the voting shares is required to dissolve the Corporation. A Court can order the dissolution if equal partners have irreconcilable differences regarding the operation of the corporate business.
