Legal Question in Business Law in Ohio
I have a partnership with my sister. S corp. She has used business fund for personal expenses, like a roof for her house, gasoline, and other things. Is there any legal recourse for that? I want to buy her out, but after a year of an outside manager, she and he decided that I would not be allowed to do that... how would I go about forcing that issue?

Dear Disillusioned Partner: You may be required to bring suit in a partition action and for a complete accounting, to which you are entitled, as a matter of law.
A partition action requires setting forth definitive proof of the unlawful or improper use of business funds for personal use, constituting a ccivil and criminal conversion.
Consult and retain an experienced Attorney ASAP. Good luck!
Sincerely, J. Norman Stark
