Legal Question in Business Law in Texas
changing partners
Me and another guy are general partners together, I have over 2/3 of the business. I approached him about buying him out but he said no. Now I am considering disolving. What can he do to stop me from disolving, if anything? Or if I want to sell to someone who will only buy 100% can my partner stop me from making that decision?

In answer to your questions; nothing, and no. Those are the drawbacks to a general partnership without a written partnership agreement that would control or prohibit such actions.
