Is a third-party who has power of attorney from the client cloaked by attorney-client privilege?

No. That privilege is reserved to the client of a licensed attorney for information given in confidence to that attorney.

No. An exception might exist where the agent (the person to whom the power of attorney is granted) is a licensed attorney, but then only in connection with attorney-client communications, and probably not where the agent is acting an agent under the power of attorney.
