Legal Question in Business Law in Washington
Hi there.
I am not sure if my questions are under your area of law. I can just hope that they are and that I'll get creative answer for them.
I am interested into a freelance online web design contract between two parties from different Countries.
The questions are:.
1. Can contracts/agreements between the two parties get signed online without normal signature in real life with a pen? (i know it sounds funny) I ask this in case if for example the parties (the customer and developer) are from different countries.
If Yes/No how would the signature process go?
2. This is an follow up question. If somehow the contracts between 2 parties can be signed up trough an online form of an agreement, how can i know if the contract is legal?
By this i mean if only the names are included into the signature section (whatever they be written with pen or what ever) how can the agreement be legal? What stops the client from braking it?
I hope you understand my questions.
I finished my university some short time ago so i kinda want to work as a freelance web designer for clients from other countries.
And honestly as i researched through the internet and i came to information that agreements between the 2 parties is a must if you want to get payed and not get abused while working the project given to you.
There was various forms of contracts around, but i couldn't find answers to my questions.
I hope that you can help me with the information needed. As i am fresh (but good) web designer i don't want to get crossed over by future clients.
Thank you again for your possible future answers.
1 Answer from Attorneys
It can be somewhat difficult to easily answer, but here are some tips:
1. a signature is just a way of authentication. I regularly sign documents submitted by just type /s/ as an attorney for electronic submissions
2. There are some great online signature services - google them.
3. Choice of law provisions that specify what country's laws will govern should be considered so that you know what the definition of a contract is (it may vary by country - common law (England and former colonies) contract = offer + acceptance + valuable consideration + no defenses.
Each of those little bits have a bunch of meanings.
