if an artist signs a contract with a recording company way before it became registered with the state is that contract binding?.

Depends on a lot of things. What was the nature of the contract, was the entity incorporated in another jurisdiction, has the entity fulfilled its end of the bargain? If there is a salient reason you want to avoid the contract, you should contact an attorney to review the contract and look into the status of the record company.
